Core Characteristics:
- Recurring revenue and established customer relationships
- Current or near-term positive cash flow/profitability
- Limited capital intensity
- Compelling competitive position
- Proven management team and operational systems
Financial Characteristics:
- Revenue greater than $5 million
- EBITDA of $1 million or more
- Enterprise value of $5 million to $25 million
- Required capital infusion of $1 million to $10 million
Transaction Structures:
- Initial or follow-on institutional round
- SAFE, participating preferred and/or senior debt structure
- Management and/or family business buy-outs or transitions
- Corporate divestitures and spin-offs
- Special situations including restructurings and operational turnarounds
